Introduction :
Corporate governance become the hottest issue of global banking, finance, corporate reform since US Enron, Worldcom, China Guanxia,  China life, China Bank, China Aviation Oil, US AIG, Freddie Mac, Fannie Mae and  high tech scandals which damages capital markets investors confidence and business , venture capital investment.

China Guanxi inflated sales by 500 million Yuan and earning by 700 million led to stock price soared from 10 to 38 in early 2001, and plunged to one dollar after CSRC  announced the fraud., China Aviation oil suffered 554 million dollar loss and company bankruptcy, firing CEO , Singapore SEC fined 8 million for insider trading Aug. 20, 2005 due to betting on the round side of oil futures , derivatives prices.
Top performer US  blue chip company with 60 billion dollar asset,  Enron using energy bubble and telecommunication bubbles in 2001 to inflate billions  sales and earning  by sophisticated oil/gas and telecommunication off balance sheet  derivatives trading to push stocks prices from 30 to 90 in early 2001 and plunged to 30 after it fail to hide the loss as gas prices plunged from 9 to 4.5. prosecuted by US security commission and plunged to below one dollar after announcing bankruptcy in 6 month.
Telecommunication giant  Worldcom  inflated 9 billion sales, earning by derivatives trading and capacity swap, merger/ acquisition  led stock prices soared from 15 to 45 and bankruptcy, plunged to below one dollar in early 2002. and numerous other companies using merger/acquisition, IPO ( TYCO merge 600 companies) to inflated the earning and hide the loss to speculate skyrocketing stocks prices during 2000-2002 resulted US investors loss of confidences and business investment slump, trillion dollar market loss.
Freddie Mae hiding 9 billion interest rate derivative loss in earning restatement, in 2005,  Freddie Mac CEO speculate on  US housing bubble and interest rate cuts hiding 4.5 billion dollar interest rate derivatives trading was fired by the board of supervisors one year after  US congress finally pass Sarbanes-Oxley act July 2002 requiring outside independent board directors, supervisors, management teams swearing to the truth of financial  accounting report  and
